1. Agreement to Terms
By accessing or using the Prismerce platform and services, you agree to be bound by these Terms of Service. Prismerce is a managed platform service provided by BlackPearl InfoSoft.
2. Managed Platform Service
Prismerce is a licensed, fully managed headless solution. We provide the infrastructure, codebase maintenance, and hosting as a service.
Critical Notice: Source code for the Prismerce platform, storefront, and underlying infrastructure is not transferred to the client. You are paying for a license to use the platform and our managed services.
3. License & Access
Subject to your compliance with these Terms and payment of applicable fees, BlackPearl InfoSoft grants you a limited, non-exclusive, non-transferable license to access and use the Prismerce services for your business operations.
4. Intellectual Property
All rights, title, and interest in and to the Prismerce platform (including but not limited to software, code, designs, and systems) remain exclusively with BlackPearl InfoSoft. Your data and content remain your property.
5. Service Availability
We strive to maintain high availability of our services. However, strictly uninterrupted service is not guaranteed. We are not liable for downtime caused by third-party providers (e.g., Shopify, Sanity, Vercel) or force majeure events.
6. Termination
We may suspend or terminate your access to the services if you violate these Terms. Upon termination, your right to use the managed platform ceases immediately. You retain ownership of your customer data and product data stored in third-party systems (Shopify/Sanity).
7. Governing Law
These Terms shall be governed by and defined following the laws of Victoria, Australia. BlackPearl InfoSoft and yourself constitute that the courts of Victoria, Australia shall have exclusive jurisdiction to resolve any dispute.
